Assembling details on Board member service records for publication
This resolution is moved for Board approval in an upcoming regular meeting by the Board Secretary. The resolution is in furtherance of increased transparency of our growing Board, and of our upcoming efforts to consolidate Board documentation as part of the new Foundation website (launch date TBD) and retirement of the Wiki in lieu of Gitlab documentation.
Upon approval by the Board, a resolution number will be assigned (new indexing system to more easily track Board decisions) for tracking purposes and the Governance Committee will be requested to assemble the abov
Resolution 2024-ZZZ:
Whereas, the Secretary is tasked by the Bylaws of the Foundation to maintain records on the organization and the Board, and
Whereas, transparency of Board performance is of importance to the Foundation membership and public at-large to ensure confidence in the Foundation's work towards its mission and goals, and
Whereas, the Governance Committee is chartered with the responsibilities of establishing, maintaining, and executing training and development of Board members and ensuring Board governance documentation is up to date;
Now Therefore, the Governance Committee is directed by the Board to prepare and provide to the Secretary the following information, to be consolidated and formatted by the Secretary into a document for publication, the following information as it relates to each current Board members and/or Directors:
- term start and expiration dates,
- numbers of continuous and total terms served in role,
- date of most recently completed Foundation Board onboarding training session,
- date of completion of "Certificate of Nonprofit Board Education, Second Edition" training,
- date of signature of the most recent Conflict of Interest form completed, and
- date of signature of the Confidentiality form completed.
And Therefore, the Governance Committee is further directed to ensure the forms and training certificates have been provided to the appropriate Foundation staff for storage in the Board's confidential files,
And Therefore, the Governance Committee is further directed to ensure delivery to the Secretary updated information when the above information changes by virtue of elections of Board members and/or Directors, or by virtue of updated submissions of such documents and forms.
